AGs office approves ouster of Sasini boss, KTDA man from tea factory

The Registrar of Companies also approved the removal of Kennedy Omanga, KTDA company secretary, from Kiru Tea and the appointment of a consultant as his replacement, handing shareholders a major victory.

“We find that Kennedy Omanga from the KTDA Management Services is restrained from acting as the company secretary,” said the Office of the AG said in a letter to Kiru Tea.

KTDA had contested the removal of Mr Omanga, but Registrar of Companies said his stay in the factory was illegal and in breach on an earlier Court of Appeal ruling.

Kiru Tea sacked Mr Omanga because he failed to offer proper guidance to the factory on behalf of the KTDA.

He is also said to have opposed the board decision to remove Mr Githaiga. Kiru shareholders said Mr Githiga’s position in the factory become invalid after he was hired by Sasini as Group managing director in January last year, arguing that he cannot sit on the boards of two rival firms that deal in tea.

Mr Githiga was in February 26 ousted following an extra ordinary meeting that was declared unprocedural by the KTDA.

The High Court In December rejected Mr Githiga’s plea to stop Kiru Tea from axing him and ruled that director fights should be settled in the boardroom, setting the stage for his ejection.

“The matters pertaining to Mr Stephen Githiga have been considered and determined by the High Court. The Registrar shall act upon any documents filled in the Registry demonstrating that the Court ruling was complied with,” said the AG’s office.

The tea firm through the consultant has filed the resolutions of the extra ordinary meeting that ousted Mr Githiga.
