Mworia, Mbaru to leave the NSE board of directors

Centum Group #ticker:ICDC chief executive James Mworia is exiting the board of the self-listed Nairobi Securities Exchange (NSE) after serving for three years.

A notice to shareholders on the upcoming annual general meeting to be held on May 30 in Nairobi, signed by company secretary John Maonga, indicates that despite Mr Mworia being eligible for reappointment he has opted not to seek re-election.

“In accordance with Articles 94 and 95 of the Company’s Articles of Association, James Mworia (a director representing the listed companies) retires by rotation and, although eligible, does not offer himself for re-election,” reads the notice.

Yesterday, he declined to give reason for the exit only saying “I have served my three-year term.”

The meeting will also see the retirement of director Jimnah Mbaru (representing the trading participants). The billionaire who owns investment bank Dyer & Blair is retiring by rotation on attaining the age of 70. He is a former chairman of the NSE.

Also exiting is Winnie Nyamute, an independent non-executive director.

However, Michael Turner, a non-executive director, and Nasim Devji (a banker who represents listed companies) will be seeking re-election.

Shareholders are also expected to elect Hosea Kili and Ms Devji to continue serving as members of the audit, risk and compliance committee.
